LearnPod offers our valued community members (“Members”) the chance to grant discounts to friends and family on the purchase of a new Program or short course. From time to time, Learnpod may, at its discretion, grant a benefit or reward (the “Referral Benefit”) when Members refer students (“Referred Users”), and such specifics of the Referral Benefit will be contained in Learnpod published referral program details (“Referral Program”). Any Referral Benefit offered under the program details in which you participate will apply to you, and you may not substitute the Referral Benefit accrued for other benefits or rewards offered under separate Referral Program opportunities.
ELIGIBILITY
Learnpod reserves the right to (A) determine the eligibility of Users for their participation in the Referral Program and (B) prohibit the Users’ participation in the Referral Program at any time. In order to avail themselves of the benefits/rewards under the Referral Program, the Participants shall ensure compliance with the following:
The Member shall have a valid member Account;
Member and Referred User each shall be of legal age (18 years or older); and
The Participants must be residents of a country that is eligible (where the program is not prohibited by any restrictions, prohibited by local laws, or under the Referral Terms).
CONFIDENTIALITY
During the course of this referral program, it may be necessary for Learnpod to share proprietary information, including trade secrets, industry knowledge, and other confidential information, with the Affiliate in order for the Affiliate to seek out potential referrals. The Affiliate will not share any of this proprietary information at any time. The Affiliate also will not use any of this proprietary information for the Affiliate’s personal benefit at any time. This section remains in full force and effect even after termination of the Agreement by its natural termination or the early termination by either Party.
The Referrer is not to use any intellectual property provided to him/her by the Seller without the written consent of the Seller.
LIMITATION OF LIABILITY
Under no circumstances will either party be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to this Agreement or the transactions it contemplates (whether for breach of contract, tort, negligence, or another form of action) in case such is not related to the direct result of one party’s negligence or breach.
INDEMNITY
The Parties agree not to indemnify and hold one another harmless. This also applies to their affiliates, agents, officers, employees, and/or successors. The Parties in this Agreement hereby in addition agree to assign against all (if any) claims, liabilities, damages, losses, penalties, punitive damages, expenses, any reasonable legal fees and/or costs of any kind or any amount that may arise. This includes, but is not limited to, any amount which may result from the negligence of or the breach of this Agreement by the party that is indemnified, its successors and assigns that occurs in terms of this Agreement.
This section will remain in full force and tact as well as effect even upon the termination of the Agreement naturally or the early termination by either of the Parties.
Disclaimer of Warranties. The Affiliate shall refer potential clients/customers as requested by Learnpod. THE AFFILIATE DOES NOT REPRESENT OR WARRANT THAT SUCH REFERRALS WILL CREATE ANY ADDITIONAL PROFITS, SALES, EXPOSURE, BRAND RECOGNITION, OR THE LIKE. THE AFFILIATE HAS NO RESPONSIBILITY TO THE LEARNPOD IF THE REFERRALS DO NOT LEAD TO THE LEARNPOD DESIRED RESULT(S).
TERMINATION.
Learnpod reserves the right to terminate the affiliate’s account and all affiliation with referrers Learnpod may pay the Affiliate all compensation due and owing for referrals made prior to the date of termination, but not yet paid if Learnpod can confirm no reasons to believe the affiliate has accumulated referral bonuses illegal.
Affiliate Terms may be updated from time to time, affiliates should take note.
